The Punjab Livestock Development Board
1. Name of the Society
The name of the Society is “The Punjab Livestock Development Board.”
2. Registered Office
The Registered Office of the Society will be situated in PUNJAB.
3. Objects of the Society
The objects for which the Society is established are MAIN OBJECTS TO BE PURSUED ON REGISTRATION OF THE SOCIETY. i) To perform the functions of the Principal Implementing Agency in the State for the implementation of State Cattle and Buffalo Breeding Project. under the aegis of National Project on cattle and Buffalo Breeding. ii) To act as a nodal agency to supplement the efforts of the Animal Husbandry Deptt. in all-round development of the Livestock and Dairy Sector in Punjab on modern, scientific and commercial lines to uplift the financial status of the livestock owners as well as nutritional status of the general and thereby bringing prosperity to the rural Punjab. iii) To implement Central sector/centrally sponsored schemes or other schemes as decided the Govt. from time to time. iv) To progressively bring under organized breeding operations all breed able female cattle and buffalo in the State. v) To arrange doorstep delivery of Artificial insemination services state wide. vi) To enforce prescribed quality standards for breeding bulls, frozen semen, semen production laboratories and A.i. services and guarantee quality assurance across all aspects of the artificial insemination system. vii) To create and conserve population of the elite breeding stock of Murrah, Nili Ravi and Sahiwal breeds and to produce proven bulls for the continuous and regular supply to the A.i. system through herd book registration, on progeny testing and open nucleous breeding system. viii) Training at all levels-Inseminators, trainers and professionals as part of the total quality assurance efforts-training to encompass technical, managerial and extension aspects. ix) To establish and organize extension network for popularization of artificial insemination and other breeding aspects amongst the farmers. x) To undertake any activity for the development of livestock in the State for increased production of Milk, Meat and Eggs through the provision of such technical inputs as improving the productivity of livestock by cross breeding and other facilities for fodder production, supply of Improved fodder seeds, establishment of disease control and Veterinary aid centre, supply of veterinary biological products like vaccines and diagnostic material, to act as agent for the State Govt. in all matters relating to livestock in the State to aid/advise/assist in any manner for the development of livestock to the State Govt. xi) To acquire, establish meal rendering units, Carcass Utilization plants, Veterinary Biologicals production units, Slaughter Houses, Cold Stores, Warehouses, Workshop and other services required for buying, testing grading, processing, manufacturing, packing storing and marketing of livestock products. xii) To import animals and genetic material and their trading. xiii) To acquire/ take on lease/ establish, maintain and operate Semen Banks, Bull Station, Bull Mother Farms and Livestock Farms. xiv) To plan and formulate policies for quick genetic up gradation and development of Livestock, where necessary, by arranging for transfer of technology from abroad with Government of India’s prior approval. xv) To undertake any activity aimed at export of Livestock and Livestock products and to provide assistance of any kind to enhance the scope of export of Livestock & Livestock products. xvi) To secure funds from the State Government and other agencies within and/or from outside the country. xvii) To establish, acquire, maintain and operate industries for the manufacture of all types of feeds including poultry, cattle, pigs and sheep feeds and fabrication of equipment and machinery relating thereto and allied appliances and to sell distribute, import, export and transport such feeds, products, equipment etc. xviii) To undertake market research activities related to Livestock sector and create a reliable date-base. xix) To plan and implement a suitable information extension programme for the Livestock sector. xx) To carry out construction & repair of buildings (Govt. institutions, establishment of own office building of the Punjab Livestock Development Board). OTHER OBJECTS: i) To acquire/establish, maintain and operate Livestock, dairy and poultry farms, to produce meat, milk, eggs and their products, to deal in their import export and transport and to establish, maintain and operate all ancillary, subsidiary and other necessary industries and plants for breeding/hatching/processing/dressing and making ready for market. ii) To promote and establish bodies corporate, association, firm or individuals. To aid, advise, assist finance, protect and promote the interests of Livestock & dairy sector in the State, whether owned or run by Government, and statutory body, Society, co-operative organizations, advisory boards and other suitable bodies as may be deemed necessary in order to carry out the aforesaid objects effectively. iii) To render financial, technical assistance, information, instructions, inspection, supervision and other facilities to any person, association or co-operative society carrying on the business of Livestock, dairy sector and poultry industries for the purpose of carrying into effect any of the aforesaid objects. iv) To establish, promote, subsidise and otherwise assist any individual association, co-operative society or other concern for the purpose of setting up Livestock and Dairy units or any other allied undertaking concerned with the carrying out of any other the objects of this society. v) To purchase, take on lease or otherwise acquire and hold and lands, buildings and structures of establishing Livestock and Dairy farms and ancillary industries to carry out the objects of the Society and to erect its own buildings, structures and enclosures, residential bungalows quarters, offices, chawls, warehouses and godowns etc. vi) To enter into agreement for foreign collaboration, foreign assistance and employ such experts and engineers, managers, technicians, scientists, and other persons having special knowledge relating to the business of the Society, and also depute officers, employees and technicians for acquiring practical knowledge and training in foreign countries. vii) To apply for and take out, purchase or otherwise acquire, any patents, trade marks, copyrights, designs, brevets d’invetion, licences, conferring any exclusive or non-exclusive or limited right to use, or any secret or other information as to any invention which may seem capable of being used for any of the purposes of the Society, or the acquisition of which may seem calculated directly or indirectly to benefit the Society, and to use, exercise, develop, or grant licenses in respect of, or otherwise turn to account the property, rights of information so acquired. viii) To enter into any arrangement with the Government of India or any other Government or State or local authority or any person for the purpose of carrying out the objects of the Society and promoting its interests and to obtain from such Government or authority or person any charters, subsidies, loans grants, contracts, licences, rights, concessions, privileges or immunities which the Society may think it desirable to obtain and exercise and comply with. ix) To establish, maintain, subscribe to or subsidise or become member of training institutions, research institutions for scientific and technical research and experiments. x) To pay all preliminary costs and expenses incurred in the establishment and promotion of the Society and remunerate any persons for services rendered in connection with such establishment or promotion. xi) To undertake and execute any project, the undertaking of which may seem to the Society desirable. xii) To assist, finance, participate and undertake any activity/ programme aimed at the development of fisheries in the State. xiii) To do all such other things as are incidental or conducive to the attainment of the above objects. xiv) The objects set forth in any sub-clause of this clause shall not, except when context expressly so requires be in any way limited or restricted by reference to or inference from the terms of another sub-clause or the name of the Society, None of these sub-clauses or the objects therein stated or the powers thereby conferred shall be deemed subsidiary or auxiliary merely to the first or any other sub-clause.
4. Governing Body
a) The Governing Body will consist of 15 persons of whom one shall be appointed as Chairman, one as Vice-Chairman and another as the Chief Executive Officer of the Board. While the Hon’ble Chief Minister, Punjab shall be the Chairman, the Animal Husbandry Minister shall be Vice-Chairman, Administrative Secretary Animal Husbandry shall be Chief Executive Officer and Additional Chief Executive Officer shall be appointed by the State Government. However the State Govt may nominate any other specialist in the relevant field in addition to the above members from time to time. b) The following persons will constitute the first Governing Body: 1. Hon'ble Chief Minister, Punjab (Ex-Officio Chairman); 2. Animal Husbandry Minister (Ex-Officio Vice-Chairman); 3. Administrative Secretary to Govt. of Punjab Deptt. of Animal Husbandry, Fisheries & Dairy Development (Ex-Officio Chief Executive Officer); 4. Any Officer not below the rank of Joint Director (A.H.) as may be Appointed by the Government (Ex-Officio Additional Chief Executive Officer); 5. Secretary to Govt. of Punjab Deptt. of Finance or his Representative not below the Rank of Joint Secretary (Ex-Officio Member); 6. Vice Chancellor, Punjab Agricultural University, Ludhiana or His nominee (Ex-Officio Member); 7. Vice Chancellor, Guru Angad Dev Veterinary and Animal Sciences University Ludhiana (Ex-Officio Member); 8. A representative of the National Project Authority (Govt. of India) (Ex-Officio Member); 9. Joint Commissioner, Govt. of India Ministry of Agriculture, Deptt. of Animal Husbandry & Dairying (Ex-Officio Member); 10. Regional Director/ Chief General Manger, NABARD, Chandigarh (Ex-Officio Member); 11. Four progressive/Cattle Breeders to Be nominated by Govt. of Punjab (Member); 12. A Technical Expert of National level (Member).
5. Interpretation Clause
In this Memorandum & the rules made there under unless the context otherwise requires. a) "The Board” means "The Punjab Livestock Development Board." b) ‘The Governor’ means the Governor of the Punjab. c) ‘Chairman’ means the Chairman of the Governing Body of the Board. d) ‘Vice Chairman’ means the Vice-Chairman of the Board. e) ‘Chief Executive Officer’ means the Chief Executive Officer of the Board. f) ‘Bye-laws’ means the bye-laws which may be made by the Directors of the Board under these rules and which may for the time being be in force. g) ‘Public Holiday’ means a public holiday within the meaning of the Negotiable Instruments Act, 1881 (XXVI of 1881), provided that no day declared by the Central Government to be a public holiday shall be deemed to such a holiday in relation to any meeting unless the declaration was notified before the issue of the notice convening such meeting. h) ‘The Register’ means ‘the register of members’ to be kept pursuant to Societies Act. i) [Missing label in source, inferred continuation] ‘Board meeting’ may be the Members assembled at a Board meeting. j) ‘Office’ means the registered office for the time being of the Board. k) ‘Person’ includes firms, associations, partnerships and corporation. l) ‘Seal’ means the common seal for the time being of the Board. m) ‘In writing’ or ‘written’ includes printing lithography and other modes of reproducing or representing works in visible form. n) ‘Month’ means calendar according to the Gregorian Calendar. o) ‘Year” means the Financial year from 1st April to 31st March. p) ‘The Act” means the Societies Act, and modifications thereof for the time being in force. q) ‘Dividend’ includes bonus. r) ‘India’ means the Republic of India, consisting of all the States mentioned in Constitution of India and other territories included in or administered by the Republic of India. s) ‘Words’ importing the masculine gender shall include feminine gender. t) ‘Words’ importing singular number shall include the plural and vice versa. u) ‘Quarter’ means three months commencing from January, April, July & October.
6. Executive Committee
Punjab Livestock Development Board shall have a Executive Committee consisting of the following for the speedy implementation of decision of the Governing Body and monitoring there of :- 1. Administrative Secretary, Animal Husbandry Department - Chairman 2. Any Officer not below the rank of Joint Director (A.H.) Appointed by the Government - Member Secretary 3. Secretary to Govt. of Punjab Deptt. of Finance or his Representative not below the Rank of Joint Secretary - Member 4. Vice Chancellor, Guru Angad Dev Veterinary and Animal Sciences University Ludhiana - Member 5. M.D. Milkfed - Member 6. Director, Animal Husbandry, Punjab - Member 7. Director Dairy Development - Member 8. One progressive livestock farmers from among the members of the Governing Body (to be decided by the Governing Body) - Member
10. Functions and powers of the office bearers
i) Chairman: a) The Chairman of the Governing Body shall preside over all the meetings of the Governing Body. He will also guide and supervise in general the working of the Board. b) To be appellate authority in case of employees of category A. ii) Vice Chairman: a) To act as Chairman of the meetings of the Governing Body in case Chairman is not present within 15 minutes after the time appointed for holding the meeting or though present he is unwilling to act as Chairman. b) To be the appointing authority in case of employees of category A. c) To be the appellate authority in case of employees of category B. d) To exercise administrative financial and budgetary control. e) To sign the annual accounts alongwith Chief Executive Officer of the Society. f) Any other authority delegated by the Governing Body. iii) Chief Executive Officer: The Chief Executive Officer shall be the main implementing officer of the Board. Subject to the general superintendence, direction and control of the Governing Body and such general or special instruction that the Governing Body may lay down, he shall be responsible for: a) Planning & implementation of the projects. b) Convening meetings. c) Appointment of staff and prescribing terms and conditions governing them. d) Maintenance of records. e) Communicating with all on behalf of the Board. He shall formulate, co-ordinate and supervise all the projects of Board to ensure their successful completion and implementation.
11. Proceedings of the Governing Body
The Governing Body may ordinarily meet once in quarter provided that the Officer may himself on his own or upon a requisition of four members of Governing Body conduct of its affairs of the Governing Body as it may consider necessary or desirable. ii) Subject to the rules, regulations and bye-laws and orders of the Governing Body, the Chief Executive Officer of the Board shall be responsible for proper administration of the Board and for the conduct of the staff under the direction and control of the Governing Body.
14. Audit
i) The account of the Board shall be audited by a firm of Chartered Accountants to be appointed by the Governing Body. ii) Fee of the Auditors will be fixed by the Governing Body.
15. Filing of Returns
i) Within 30 days after holding of annual general meeting, there shall be filed with the Registrar of Societies (i) a list of the names, addresses and occupations of the members of the Governing Body including the Chairman, Vice Chairman and Chief Executive Officer and other office bearers of the Board. ii) Annual report for the previous year along with the auditors report thereon such list and the annual report shall be certified by the Chief Executive Officer and the head of the Acctts Deptt. A copy of the annual accounts along with the auditors report thereon and the annual administration report shall Simultaneously be forwarded to the State Government and if necessary to the relevant department of the Central Government. iii) If any change occurs in the composition of the Governing Body or in the holder of the office of the Chairman, Vice Chairman or Chief Executive Officer at any time for any reason, such change shall within 30 days be notified to the Registrar of Societies.
16. Property of the Board
All property belonging to the Board shall be deemed to be vested in the Governing Body of the Board/but shall be referred to as Property of the Board.
17. Suits and proceedings by and against the Board
The Board may sue or may be sued in the name of the Chief Executive Officer or any office bearer authorized by the Governing Body in this behalf. a) No suit or proceedings shall abate by reason of any vacancy or change in he holder of the office by the Chairman, the Chief Executive Officer or any office bearer authorized in this behalf. b) Every decree or order against the Board in suit or proceedings shall be executable against the property of the Board and not against the person or the property of the Chairman Chief Executive Officer or any office bearer. c) Nothing herein shall exempt the Chairman, the Chief Executive Officer or any other office bearer of the Board from any criminal liability under the act or entitle him to claim any contribution from the of in respect of any fine paid by him or conviction by a criminal. d) Every member of the Board may be sued or prosecuted by the Agency for any loss or damage caused to the Board or its Property for anything done by him which is detrimental to the interest of the Board.
18. Alteration or extension of the objects of the Board
The Board may subject to the approved of the State Government alter or extend the objectives for which it is established in the following way: a) The Governing Body shall submit the Proposition for such alternation or extension as aforesaid to members of the Board in a written or printed report. b) The Governing Body shail convene a special general meeting: according to the rules for consideration of the said proposition. c) Such report shall be delivered or sent by post to every member of the Board with a clear notice of fifteen days about the special general meeting as aforesaid. d) Such proposition shall be required to be confirmed by a resolution passed by three fifths of the members present and voting at the special general meeting, so convened.
19. Alteration in rules of the Board
The rules of the Board may be altered at any time by a resolution passed by the majority of the Board present and voting in any general meeting of the Board which shall have been duly convened for the purpose. The modified rules will be deemed to have come into force in accordance with the provisions contained in the Registration of Societies Act, 1860.
Membership. Membership
i) The Board shall consist of the following members. ii) First members of the Governing Body and those who have subscribed to the Memorandum of Association. iii) Whenever a member desires to resign from the membership of the Board, he shall address his resignation to the Chief Executive Officer of the Board and submit the same to him. His resignation shall take effect only on its acceptance by the Chairman of the Governing Body. iv) Any Vacancy in the membership of Board either by resignation or otherwise may be filled up by the State Government. v) Should a person who is the member of the Board by virtue of his office held by him be unable to attend the meeting of the Board, he may appoint a proxy to attend the meeting in his Place. Such proxy shall be entitled to take part in the Proceedings of that meeting for which he is nominated but shall not have a right to vote thereat. vi) The Board shall function notwithstanding that any person entitled to be a member by reason of his office is not represented on the Board for the time being. The proceedings of the Board Shall not be invalidated by the above reason nor by the reason of any vacancy or defect in the nomination of any of its members. vii) The Board shall maintain a roll of members at its registered office and every member shall sign the required form Stating his occupation and address. viii) It shall be incumbent upon a member of the Board to notify to the office of the Board any change of his address or occupation. ix) [Entries defined in page 8] b) The date on which the member was admitted. c) The date on which the member ceased to be a member. d) A member of the Board or the Governing Body shall cease to be such a member if he: a) Dies, or b) Resigns his membership, or c) Becomes of unsound mind, or d) Becomes insolvent, or becomes insolvent, or e) is convicted of a criminal offence involving moral turpitude, or f) Is removed by the State Government.
